1. Acceptance of These Terms

These Terms of Service (the "Terms") form a binding agreement between you and PrideBiz.

“PrideBiz” is a business brand operated by two affiliated entities under common management.

References to “PrideBiz,” “we,” “us,” or “our” mean the PrideBiz business and, as applicable, the

entity responsible for the relevant transaction or service. The entity responsible for a particular

transaction will be determined by the PrideBiz sales channel through which the transaction was

originated and processed.

By accessing, browsing, searching, using, registering for, submitting information to, purchasing a

listing through, or otherwise interacting with the PrideBiz website, directory, platform, products,

communications, or services in any manner (collectively, the "Services"), you acknowledge that

you have read, understood, and agree to be bound by these Terms and all policies incorporated

into them by reference.

If you use the Services on behalf of a company, organization, or other entity, you represent that

you have authority to bind that entity, and "you" includes both you and that entity. If you do not

agree to these Terms, you must not access or use the Services.

Certain activities may require additional acceptance, including a checkbox or other electronic

acknowledgment. Business listings are also governed by the PrideBiz Listing Standards &

 

Removal Policy. Referral Partners are also governed by the PrideBiz Referral Partner Agreement.

 

 

2. About PrideBiz

PrideBiz operates an online directory designed to connect consumers, including members of the

LGBTQ+ community, with businesses that agree to provide professional, respectful, and non-

discriminatory service.

PrideBiz is a directory and promotional platform. PrideBiz is not a licensing body, regulatory

authority, investigative agency, guarantor, insurer, or certifier of any listed business, product,

service, professional qualification, or outcome.

 

3. Eligibility and Authority

 You must be at least 18 years old and legally capable of entering into a binding agreement.

 Information you provide must be accurate, current, complete, and not misleading.

 You may not use the Services if your use is prohibited by applicable law.

 A person purchasing or managing a business listing represents that they are authorized to act

 

for the listed business.

 

 

4. Accounts and Security

You are responsible for safeguarding account credentials and for all activity conducted through

your account. You must promptly notify PrideBiz at support@PrideBiz.com of suspected

unauthorized access or security incidents involving your account.

PrideBiz may require identity, business, payment, or authorization information to establish,

maintain, or protect an account or listing. We may reject, suspend, or close accounts containing

false, incomplete, unlawful, or unverifiable information.

 

5. Business Listings

A business listing may include information submitted by the business, information obtained from

public sources, and formatting or categorization added by PrideBiz. The business remains

responsible for the accuracy, legality, and currency of its listing information.

 The business must promptly correct inaccurate or outdated information.

 The business must have all rights and permissions necessary for names, logos, photographs,

descriptions, trademarks, and other materials it submits.

 A listing does not create an endorsement, certification, partnership, agency relationship, or

guarantee by PrideBiz.

 Placement, search position, visibility, traffic, leads, inquiries, sales, or other commercial

results are not guaranteed.

 PrideBiz may organize, format, resize, edit for clarity, categorize, or display listing content as

reasonably necessary to operate the directory, without materially changing the meaning of

business-submitted information.

 

6. Listing Standards

Businesses purchasing or maintaining listings agree to comply with the PrideBiz Listing

Standards & Removal Policy, which is incorporated into these Terms by reference.

PrideBiz may approve, decline, suspend, modify, or remove a listing in accordance with that

policy. Listing eligibility decisions are separate from any consumer's independent decision to use

or not use a listed business.

 

7. Pricing, Orders, and Payment

The price, scope, duration, services included, billing terms, and any renewal or recurring-

payment terms applicable to a listing or other paid service will be clearly presented in the

applicable order form, invoice, proposal, online checkout, or other contracting record accepted at

the time of purchase (the "Order Terms").

The Order Terms in effect at the time of contracting govern that purchase. PrideBiz may offer

different prices, packages, durations, promotions, or payment structures at different times or to

different customers, provided that the applicable terms are disclosed before acceptance.

You authorize PrideBiz and its payment processors to charge the payment method provided for

amounts you accept. You are responsible for applicable taxes, duties, and governmental charges

unless PrideBiz expressly states that they are included.

If a payment is reversed, declined, disputed, charged back, or not completed, PrideBiz may

suspend performance, disable the listing, recover reasonable collection costs where permitted, or

take other lawful action.

Refund rights and non-refundable charges applicable to business listings are described in the

Listing Standards & Removal Policy and the applicable Order Terms.

 

8. Meaning of Listing Duration

Any description of a listing as "lifetime," "permanent," or similar language means the duration

expressly defined in the applicable Order Terms. Unless the Order Terms state otherwise, such

language does not guarantee that the Services, website, directory, company, technology, features,

or business model will operate indefinitely or remain unchanged.

PrideBiz may update, redesign, migrate, replace, suspend, or discontinue any part of the Services.

Where reasonably practicable, PrideBiz will make good-faith efforts to preserve materially

equivalent listing access for active listings, subject to these Terms, the applicable Order Terms,

technical feasibility, legal requirements, and the continued operation of PrideBiz.

 

9. Permitted Use

You may use the Services only for lawful purposes and in accordance with these Terms.

You may not:

 Use the Services to violate any law or the rights of another person.

 Submit false, deceptive, defamatory, infringing, discriminatory, threatening, harassing,

obscene, or unlawful content.

 Impersonate another person or misrepresent an affiliation, authority, endorsement, or

relationship.

 Interfere with the security, availability, operation, or integrity of the Services.

 Use automated means to scrape, harvest, copy, monitor, or extract data from the Services

without written permission.

 Introduce malicious code, attempt unauthorized access, or bypass security or access controls.

 Use PrideBiz content, data, branding, or listings to create or train a competing directory,

database, product, or service without written permission.

 Send spam or other unlawful or unauthorized commercial communications using

information obtained from PrideBiz.

 Manipulate rankings, reviews, complaints, referrals, clicks, leads, traffic, or other platform

activity.

 

10. User and Business Content

You retain ownership of content you submit, subject to the license below. You grant PrideBiz a

non-exclusive, worldwide, royalty-free, sublicensable, transferable license to host, store,

reproduce, format, edit for presentation, publish, display, distribute, and promote that content

solely in connection with operating, marketing, improving, and providing the Services.

This license continues for as long as reasonably necessary to operate the Services, fulfill

contractual or legal obligations, maintain records, resolve disputes, or use materials already

incorporated into lawful promotional content. PrideBiz will not acquire ownership of your

trademarks merely because they appear in a listing.

You represent that submitted content is accurate, lawful, and does not infringe intellectual-

property, privacy, publicity, contractual, or other rights.

 

11. Reviews, Complaints, and Communications

If PrideBiz permits reviews, ratings, complaints, comments, testimonials, photographs, or other

user submissions, contributors must describe genuine experiences and may not submit fake,

purchased, manipulated, misleading, retaliatory, or unlawful content.

PrideBiz may moderate, decline, remove, preserve, or disclose content where reasonably

necessary to enforce these Terms, comply with law, protect rights or safety, investigate fraud or

abuse, or maintain platform integrity. PrideBiz is not obligated to publish every submission or

mediate disputes.

Nothing in these Terms prohibits an individual from providing an honest review or assessment of

their experience, subject to applicable law and the platform's content rules.

 

12. Intellectual Property

The Services, including PrideBiz's name, logos, designs, software, selection and arrangement of

content, text, graphics, databases, and original materials, are owned by or licensed to PrideBiz

and are protected by intellectual-property laws.

Except for the limited right to use the Services under these Terms, no rights are granted to you.

You may not use PrideBiz trademarks, branding, sales materials, or copyrighted content except as

expressly authorized in writing or under the Referral Partner Agreement.

 

13. Copyright Complaints

A rights holder who believes content on the Services infringes copyright may send a notice to

support@PrideBiz.com containing sufficient information to identify the copyrighted work, the

allegedly infringing material, the rights holder or authorized agent, contact information, a good-

faith statement, and a statement made under penalty of perjury that the notice is accurate and

authorized.

PrideBiz may remove or restrict access to challenged material and may terminate repeat

infringers where appropriate. False infringement notices may create legal liability.

 

14. Third-Party Services and Links

The Services may link to or integrate with third-party websites, payment processors, mapping

services, social networks, analytics tools, or other providers. PrideBiz does not control and is not responsible for third-party content, availability, security, privacy practices, products, or services.

Your use of third-party services is governed by their terms and policies.

 

15. Electronic Communications

You consent to receive contractual, transactional, administrative, security, and service

communications electronically. Marketing communications will be sent and managed in

accordance with applicable law and the Privacy & Cookie Policy. You may unsubscribe from

marketing messages, but not from essential account or transaction notices.

 

16. Service Availability and Changes

PrideBiz may modify, update, add, remove, suspend, or discontinue features or portions of the

Services at any time. We do not guarantee uninterrupted, error-free, secure, or continuously

available operation. Maintenance, technical problems, third-party failures, cybersecurity

incidents, legal requirements, and events outside our reasonable control may affect availability.

 

17. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS

AVAILABLE." PRIDEBIZ DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES,

INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE,

TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, SECURITY, AND RESULTS.

PrideBiz does not warrant or guarantee the identity, legality, quality, conduct, licensing,

qualifications, safety, products, services, pricing, availability, or performance of any listed

business or user. Consumers and businesses are responsible for their own evaluation, due

diligence, decisions, transactions, and interactions.

 

18. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PRIDEBIZ AND ITS OWNERS, OFFICERS,

DIRECTORS, EMPLOYEES, CONTRACTORS, AFFILIATES, LICENSORS, AND SERVICE PROVIDERS

WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR

PUNITIVE DAMAGES; LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OPPORTUNITY, OR

BUSINESS; OR CLAIMS ARISING FROM DEALINGS BETWEEN USERS AND LISTED BUSINESSES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PRIDEBIZ'S TOTAL AGGREGATE LIABILITY

ARISING OUT OF OR RELATING TO THE SERVICES, THESE TERMS, OR A LISTING WILL NOT

EXCEED THE GREATER OF (A) THE AMOUNT PAID BY THE CLAIMANT TO PRIDEBIZ FOR THE

SPECIFIC SERVICE GIVING RISE TO THE CLAIM DURING THE TWELVE MONTHS BEFORE THE

EVENT, OR (B) ONE HUNDRED U.S. DOLLARS.

Some jurisdictions do not allow certain exclusions or limitations, so some of the above may not

apply to you.

 

19. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless PrideBiz and

its owners, officers, directors, employees, contractors, affiliates, licensors, and service providers

from claims, losses, liabilities, damages, judgments, costs, and reasonable attorneys' fees arising

from or related to your content, listing, products or services, conduct, violation of these Terms,

violation of law, or infringement of another person's rights.

 

20. Suspension and Termination

You may stop using the Services at any time. PrideBiz may restrict, suspend, or terminate access,

accounts, or listings for breach of these Terms, nonpayment, fraud, security concerns, legal

requirements, misuse, or conduct that threatens users, PrideBiz, or platform integrity.

Provisions that by their nature should survive termination will survive, including payment

obligations, ownership, licenses needed for records or existing materials, disclaimers, liability

limitations, indemnification, dispute provisions, and general terms.

 

21. Changes to These Terms

PrideBiz may update these Terms from time to time. The updated version will be posted with a

revised effective date. Where required by law or where a change materially affects existing

contractual rights, PrideBiz will provide additional notice and obtain acceptance when required.

Continued use after updated Terms become effective constitutes acceptance to the extent

permitted by law. Changes to specific Order Terms will apply only as provided in those Order

Terms or as separately agreed.

 

22. Governing Law and Venue

These Terms are governed by the laws of the State of New York or the State of Florida, as

applicable to the PrideBiz sales channel through which the transaction was originated and

processed. For transactions originated and processed through the New York sales channel, New

York law applies and, unless applicable law requires otherwise, any action arising from these

Terms or the Services must be brought in the state or federal courts located in Kings County, New

York. For transactions originated and processed through the Florida sales channel, Florida law

applies and, unless applicable law requires otherwise, any action arising from these Terms or the

Services must be brought in the state or federal courts located in Miami-Dade County, Florida.

The parties consent to the jurisdiction and venue of the applicable courts.

 

23. General Provisions

 

 Entire agreement. These Terms, incorporated policies, and applicable Order Terms constitute

the complete agreement regarding their subject matter.

 Order of precedence. If terms conflict, the applicable Order Terms control for the specific

purchase, followed by the Referral Partner Agreement for referral activities, the Listing

 Standards & Removal Policy for listing eligibility and removal, and then these Terms.

 No waiver. Failure to enforce a provision is not a waiver.

 Severability. If a provision is unenforceable, it will be modified to the minimum extent

necessary or severed, and the remainder will continue.

 Assignment. You may not assign your rights or obligations without PrideBiz's written consent.

PrideBiz may assign these Terms in connection with a merger, financing, reorganization, sale

of assets, or transfer of the Services.

 No third-party beneficiaries. These Terms do not create rights for anyone other than the

parties, except indemnified parties as stated.

 Force majeure. PrideBiz is not liable for delay or failure caused by events beyond its

reasonable control.
